This Cardholder Agreement (this “Agreement”) governs the issuance and use of the OKX‑branded Visa card (the “Card”).

1. Parties and Structure

1.1 Issuer

The Card is issued by Xfers Pte. Ltd., a company incorporated in Singapore (UEN 201411660R) and trading as StraitsX (“Issuer” or “StraitsX”). StraitsX is the Visa issuing member and is responsible for the issuance of the Card, settlement of Card transactions, and compliance with applicable Visa rules. The card program is issued by the Issuer under license from Visa.

The Issuer is not a party to this Agreement and disclaims any liability for the performance of services covered therein. OKX reserves the right to amend this Agreement or impose additional obligations or restrictions on you at any time with or without notice to you. By continuing to use the Services, you agree to be bound by such amendments or additional obligations or restrictions. The date on the top of this page shows when this Agreement was last updated.

1.2 Cardholder

You are the individual to whom the Card is issued (“Cardholder”, “you”).

1.3 Platform Provider (Non-Party)

The Card is made available through the OKX platform operated by OKX (“OKX Platform Provider”).

The OKX Platform Provider is not the issuer of the Card; is not a bank, fiat payment institution, or electronic money issuer in respect of the Card; and is not a party to this Agreement.

Your contractual relationship for the Card is solely with StraitsX.

2. Nature of the Card

2.1 Card Type

Unless otherwise notified, no physical card is provided, no ATM withdrawals are permitted, and the Card may only be used for merchant purchase transactions. The Card is a virtual, purchase‑only Visa card issued on a prepaid or prefunded basis (as determined by StraitsX under Visa rules).

2.2 No Deposit or E‑Money

The Card is not a bank account, deposit account, or electronic money account. Funds associated with the Card do not constitute deposits and are not insured or guaranteed by any deposit protection scheme.

3. Card Account and Funding Mechanics

3.1 Card Account

StraitsX maintains a Card account for the sole purpose of authorizing and settling Card transactions (“Card Account”). The Card Account is maintained by StraitsX and does not hold cryptocurrency or digital assets.

3.2 No Cryptocurrency Held on the Card

The Card does not, and can not, hold cryptocurrency or digital payment tokens. All Card transactions are settled in fiat currency (or fiat‑denominated value) in accordance with Visa rules.

3.3 Crypto Conversion Outside the Card Account

Any cryptocurrency or stablecoins held with the OKX Platform Provider and used in connection with Card is converted into fiat currency outside the Card Account. Such conversions are performed by or through the OKX Platform Provider or its affiliates and StraitsX receives only fiat‑denominated settlement amounts for Card transactions.

4. Settlement Currency and Deductions

4.1 Settlement Currency

Card transactions are settled by StraitsX in fiat currency. For user experience purposes, transaction amounts displayed to you by the OKX Platform Provider may be expressed in USD‑equivalent terms.

4.2 Authorization vs. Settlement

The amount authorized at the time of a transaction may differ from the final settled amount due to exchange rate movements, merchant processing, reversals, or adjustments in accordance with Visa rules.

5. Geographic Scope and Cross‑Border Use

5.1 Availability

The Card may be issued to Cardholders located in regions allowed under StraitsX’s eligibility criteria, Visa rules, and applicable laws.

5.2 Foreign‑Issued Card Disclosure

Where you are not a resident of Singapore, the Card is issued as a foreign‑issued card and its use may be subject to local laws and restrictions in your country of residence or use.

You are responsible for ensuring that your use of the Card complies with all applicable laws in the jurisdictions where you reside or use the Card.

6. Fees, FX, and Exchange Rates

6.1 Fees

Applicable fees (if any) relating to Card issuance, use, foreign exchange, or other services will be disclosed to you prior to use or in applicable schedules.

6.2 Exchange Rates

Currency conversion rates may be determined by Visa or StraitsX in accordance with Visa rules. Rates applied may differ from rates available at the time the transaction is initiated.

7. Compliance, KYC, and Monitoring

7.1 Identity Verification

Issuance and continued use of the Card is subject to identity verification, sanctions screening, and ongoing monitoring. The OKX Platform Provider may perform preliminary verification steps, with StraitsX retaining final authority over Card issuance and ongoing compliance.

7.2 Suspension and Termination

StraitsX may suspend, restrict, or terminate the Card immediately where required by law, Visa rules, or for compliance, risk, or security reasons. StraitsX is not liable for losses arising from such suspension or termination except as required by applicable law.

8. Prohibited Use

You must not use the Card for unlawful activities, transactions involving sanctioned persons or jurisdictions, cash‑like or quasi‑cash transactions, or any use prohibited by Visa rules, applicable law, or the applicable OKX Terms of Service.

9. Liability and Disputes

9.1 Transaction Disputes

Disputes, chargebacks, and reversals are governed by Visa rules.

You are responsible for resolving disputes directly with the merchant for any issues concerning the quality, delivery, or return of goods or services purchased with your Card. We are not responsible for the delivery, quality, legality, or any other aspects of the goods or services you purchase with your Card.

If you are unable to resolve a transaction dispute with the merchant, you may contact us to submit a claim. We will review your claim and, if applicable, assist you in pursuing a chargeback or adjustment in accordance with Visa network rules. Whether a transaction is ultimately reversed will depend on the specific facts, supporting documentation you provide, and the rules of the Visa network.

9.2 Limitation of Liability

To the maximum extent permitted by law, StraitsX is not liable for merchant disputes, declined transactions, or indirect losses. The OKX Platform Provider bears no liability for Card transactions, authorization decisions, exchange rates, or settlement outcomes.

10. Termination

You may request termination of your Card by contacting OKX customer service via the help center.

11. Rewards and Perks

Any rewards, cashback, or promotional benefits associated with Card use are offered separately by the OKX Platform Provider (or its affiliates) and do not form part of this Agreement. StraitsX does not provide or administer such benefits.

12. Data Protection

StraitsX and the OKX Platform Provider act as independent data controllers in respect of personal data processed in connection with the Card, each in accordance with applicable data protection laws.

13. Governing Law and Dispute Resolution

This Agreement is governed by the laws of Singapore. Any dispute arising out of or in connection with this Agreement shall be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules. The seat of arbitration shall be Singapore. The language of arbitration shall be English. The Tribunal shall consist of one (1) arbitrator.

14. Miscellaneous

This Agreement constitutes the entire agreement between you and StraitsX regarding the Card. If any provision is held invalid, the remaining provisions shall remain in full force. Any undefined terms in this agreement will take on the definition provided in the OKX Terms of Service.
